1. Agreement

These Terms and Conditions ("Terms") govern your use of the website congruity-consulting.com and the services provided by Antonio Teti trading as Congruity Consulting (ABN 60 317 539 680) ("we", "us", "Congruity"). By using our website or engaging our services, you agree to these Terms.

2. Services

Congruity provides AI consulting services including:

• AI Education and Team Training (workshops)
• Workflow Audits and Process Mapping
• Done-For-You Automation (custom agentic workflow development)

The scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) agreed upon before work begins.

3. Intellectual property

Upon full payment, all custom-built automation systems, code, and documentation created for your business are transferred to you. You own the output. Congruity retains the right to use general methodologies, frameworks, and non-proprietary techniques in future engagements.

4. Payment

Payment terms are specified in each SOW. Unless otherwise agreed:

• A deposit may be required before work begins
• Invoices are payable within 14 days of issue
• All prices are in Australian Dollars (AUD) and exclusive of GST unless stated

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business processes, internal data, system access credentials, and automation architectures. This obligation survives the termination of any engagement.

6. Limitation of liability

To the maximum extent permitted by Australian law, Congruity's total liability for any claim arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or incidental damages.

7. Warranties and disclaimers

We warrant that our services will be performed with due care and skill in accordance with generally accepted industry standards. However:

• We do not guarantee specific financial outcomes, time savings, or ROI. Results depend on your implementation, team adoption, and business context
• AI and automation technologies are evolving rapidly; we do not warrant that solutions will remain optimal indefinitely without updates
• Third-party tools and APIs integrated into our solutions are subject to their respective providers' terms and availability

8. Cancellation and refunds

Either party may terminate an engagement with 14 days written notice. The following applies:

• Work completed up to the date of termination will be invoiced at the agreed project rate
• Deposits for work not yet commenced are refundable within 14 business days
• Training workshop cancellations within 48 hours of the session may incur a cancellation fee of up to 50% of the session cost
• Completed and delivered code, documentation, and systems remain your property upon full payment of all outstanding invoices

9. Indemnification

You agree to indemnify and hold Congruity harmless from any claims, damages, or expenses arising from:

• Your use of the automated systems after handover, including any modifications made without our involvement
• Your failure to maintain adequate data backups or security practices
• Any breach of these Terms by you

10. Website use

You may use this website for informational purposes. You must not:

• Reproduce, distribute, or modify content without written permission
• Use the website for any unlawful purpose
• Attempt to interfere with the website's operation or security
• Scrape, mine, or systematically collect content from this website

All content on this website, including text, graphics, logos, and design elements, is the intellectual property of Congruity Consulting unless otherwise stated.

11. Force majeure

Neither party shall be liable for any delay or failure to perform obligations under these Terms due to circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

13. Governing law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

14. Changes to these Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
